• Payment obligations, as set forth in individual service agreements or quotations, shall be fulfilled promptly

TopMay International reserves the right to refuse service to any individual or entity at our sole discretion, without obligation to disclose reasoning, where permitted by applicable law.

Without limiting the foregoing, TopMay International does not warrant that:

• The website will function uninterrupted, secure, or error-free
• Defects will be corrected
• The website or servers are free of viruses or other harmful components
• Information published on the website is completely accurate, complete, or current
• Third-party suppliers will perform precisely as anticipated
• Shipping timelines will be met exactly as estimated (while we maintain a 99.2% on-time delivery rate, we cannot guarantee against all force majeure events)

Our aggregate liability to you for any claim arising from or related to these Terms or our services shall not exceed the total fees paid by you to TopMay International during the twelve (12) months immediately preceding the event giving rise to the liability.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

You agree to defend, indemnify, and hold harmless TopMay International, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees) arising from:

• Your violation of any third-party right, including without limitation any intellectual property, privacy, or contractual right
• Your breach of applicable international trade laws or customs regulations
• Any claim that products sourced through our services caused damage to third parties

We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

TopMay International reserves the right, in its sole discretion, to terminate your access to all or part of our website and services, with or without notice and with or without cause, including but not limited to breach of these Terms.

Upon termination:

• Your right to access the website ceases immediately
• All licenses granted to you under these Terms immediately revoke
• Sections concerning Intellectual Property, Limitation of Liability, Indemnification, and Governing Law shall survive termination
• Any ongoing service agreements shall be governed by their specific termination provisions
